Terms and Conditions

Terms and Conditions

Balance Pilates Holdings LLC (DBA Balance Modern Pilates)

Effective Date: October 9, 2026

1. Welcome and Acceptance of Terms

These Terms and Conditions (the "Terms") are a binding agreement between you and Balance Pilates Holdings LLC, doing business as Balance Modern Pilates ("Balance," "we," "us," or "our"). They govern your use of our studios, classes, memberships, class packages, retail products, website, mobile application, online booking tools, and any other services we offer (together, the "Services").

By creating an account, purchasing a membership or class package, booking or attending a class, entering a studio, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Services.

Please read Section 17 (Dispute Resolution and Arbitration) carefully. It affects your legal rights, including your right to bring a claim in court or as part of a class action.

2. Eligibility

You must be at least 18 years old to create an account or purchase a membership. Individuals ages 16 and 17 may participate only with the written consent of a parent or legal guardian, who must sign our liability waiver and who accepts these Terms on the minor's behalf. We do not permit participants under age 16 unless we have expressly offered a program for them. We reserve the right to request proof of age or identity at any time.

3. Your Account

To book classes, you must create an account and provide accurate, current, and complete information. You are responsible for keeping your login credentials confidential and for all activity under your account. Memberships, class packages, and credits are personal to you and may not be shared, sold, or transferred except as we expressly allow. Please notify us immediately at info@balancepilates.com if you believe your account has been used without your permission.

4. Health and Safety; Assumption of Risk

Pilates and related exercise involve physical exertion and a risk of injury, including strains, sprains, falls, and in rare cases more serious injury. By participating, you represent that:

  • You are in good physical condition and have no medical condition, injury, or limitation that would make participation unsafe, or you have consulted a physician and received clearance to participate.
  • You will tell your instructor before class about any injury, pregnancy, or condition that may affect your participation, and you will modify or stop any exercise that causes pain or discomfort.
  • You understand that instructors provide general guidance and are not medical professionals, and that nothing we say is medical advice.
  • You will use equipment only as instructed and will follow all studio safety rules.

You voluntarily assume all risks of participating in the Services. You may be asked to sign a separate Participation Agreement and Release of Liability before your first class, which forms part of these Terms. If these Terms and the Release conflict as to liability for injury, the Release controls.

5. Memberships, Class Packages, and Pricing

Offerings. We offer recurring memberships, class packages, introductory offers, single classes, private sessions, and other products, each described at the time of purchase. Prices, class credits, expiration periods, and terms may differ by location and offer and may change at any time, though changes will not affect a purchase you have already completed.

Introductory offers. Introductory or promotional offers are limited to new clients, one per person, and are non-transferable, non-refundable, and may not be combined with other offers unless stated. Unused credits expire as stated in the offer.

Class package credits. Credits are valid for the period shown at purchase and expire at the end of that period. Expired credits have no cash value and cannot be refunded or extended except at our discretion.

Taxes. Prices do not include applicable sales or other taxes, which will be added where required.

Payment. You authorize us and our payment processors to charge your selected payment method for all amounts due, including memberships, packages, late-cancel and no-show fees, retail purchases, and applicable taxes. You must keep your payment information current. If a charge is declined, we may retry the charge, suspend your booking privileges, or terminate your membership, and you remain responsible for amounts owed. We may charge a fee for returned or failed payments to the extent permitted by law, and we may use collection efforts for unpaid balances.

6. Recurring Memberships and Automatic Renewal

If you purchase a recurring membership, it will automatically renew each billing period (for example, monthly) at the then-current rate until you cancel. By enrolling, you authorize us to charge your payment method on file at the start of each billing period without further notice or approval from you, except where notice is required by law.

  • Initial term and commitment. Some memberships include a minimum commitment. Any minimum term will be disclosed before you purchase.
  • Price changes. We may change membership pricing. We will give you advance notice of any increase as required by law, and the new rate will apply at your next renewal. Continuing your membership after the effective date means you accept the new rate.
  • Credits. Monthly membership credits generally do not roll over unless your membership expressly says so.
  • Cancellation. You may cancel at any time as described in Section 7.

7. Cancellation, Freezes, and Refunds

How to cancel. You may cancel your membership through your online account or by written notice to info@balancepilates.com or to our corporate address, 13500 Pearl Road, Suite 139 #348, Strongsville, OH 44136. Cancellation requests must be received at least [five (5)] days before your next billing date to avoid being charged for the next period. Cancellation takes effect at the end of the current paid billing period, and you may continue to use remaining credits until then.

Cooling-off period. If you buy a membership or contract that is covered by Ohio's health spa and related consumer protection laws, you may have a right to cancel within the period required by law (generally three business days) for a refund. Nothing in these Terms limits any cancellation or refund right you have under applicable law.

Membership freezes. You may request a temporary freeze for medical reasons, travel, or other qualifying circumstances by contacting us. Freezes may be subject to a minimum or maximum length, advance notice, and a fee, which we will disclose when you make the request. Billing resumes automatically when the freeze ends.

Relocation, disability, and death. If you move more than [25] miles from any Balance location, become unable to use the Services due to a documented medical condition, or in the event of death, you or your estate may request cancellation with appropriate documentation, and we will handle the request as required by applicable law.

No other refunds. Except as stated in these Terms, required by law, or offered by us in our sole discretion, all purchases are final and non-refundable, including partially used memberships, unused credits, and class packages. We do not provide refunds or credits for missed classes, schedule changes, or lack of use.

8. Class Booking, Late Cancellations, and No-Shows

Booking. Classes may be reserved through our website or app, subject to availability. Reserving a spot holds your place on the reformer or equipment for you; we may fill reserved spots that are not claimed.

Arrival. Please arrive at least [10] minutes before class starts. For safety and so as not to disrupt others, we will not admit anyone more than 10 minutes after class begins. If you arrive later than that, we may release your spot and treat you as a no-show. Late arrivals within the first 10 minutes may be admitted at our discretion.

Cancellation window. You may cancel or change a reservation without penalty up to 12 hours before the start of class. Cancellations made after that point are "late cancellations."

Late-cancel and no-show fees. If you cancel late or do not attend a class you booked, we will charge a fee of $15 per class if you have an unlimited membership and $20 per class if you do not have an unlimited membership. Members who booked using a class pack credit forfeit that class, and we reserve the right to also charge those members a late-cancel or no-show fee. Fees may be waived at our discretion for documented emergencies. Repeated late cancellations or no-shows may result in restricted booking privileges.

Waitlists. If a class is full you may join the waitlist. If a spot opens, you will be moved into the class automatically and notified. You are responsible for cancelling in time if you can no longer attend; a waitlist spot that converts to a booking is subject to the same late-cancel and no-show policies. Joining a waitlist does not guarantee a spot.

Class changes. We may change, cancel, or merge classes, change instructors, adjust schedules, or close a studio for weather, low enrollment, maintenance, or other reasons. If we cancel a class you booked, we will return the credit to your account as your sole remedy.

9. Studio Rules and Conduct

To keep our studios safe and welcoming, you agree to:

  • Wear grip socks in class (available for purchase) and appropriate athletic attire, and follow our equipment and hygiene guidelines.
  • Follow all instructor and staff directions and set up and use equipment only as instructed.
  • Silence phones and refrain from recording audio or video of classes, instructors, or other clients without permission.
  • Treat staff and fellow clients respectfully. We do not tolerate harassment, discrimination, threats, or disruptive behavior.
  • Keep personal belongings in designated areas. Balance is not responsible for lost, stolen, or damaged personal property.
  • Refrain from attending class while contagious or ill.

We may refuse service, remove anyone from a class or premises, suspend or terminate a membership, and ban future access, without refund, for violating these Terms or studio rules, endangering anyone's safety, or engaging in conduct we judge inappropriate.

10. Photos, Video, and Likeness

Balance may photograph or film classes and events for marketing, social media, and other business purposes. By entering a studio or attending a class, you grant Balance and its affiliates a non-exclusive, royalty-free, perpetual, worldwide license to use your name, image, voice, and likeness in any media without compensation, unless you notify us in writing that you do not consent. If you would prefer not to appear in photos or video, please tell a team member before class and we will make reasonable efforts to accommodate you.

11. Gift Cards, Promotions, and Referrals

Gift cards and promotional codes are subject to the terms stated at the time of issue, have no cash value except as required by law, are not replaceable if lost or stolen, and may not be redeemed for cash. Promotions may be modified or withdrawn at any time and may not be combined unless stated. We may void any promotion or credit obtained through fraud, abuse, or violation of these Terms. Referral programs, if offered, are subject to additional rules posted at the time.

12. Retail Products

Retail items sold in studio or online are subject to availability and the return policy shown at the point of sale. Unless stated otherwise, unopened items in original condition may be returned within [14] days with proof of purchase; grip socks, apparel that has been worn, and sale items are final.

13. Website, App, and Electronic Communications

Use of the Services online. You may use our website and app for personal, non-commercial purposes only. You agree not to misuse them, including by attempting to gain unauthorized access, interfering with their operation, scraping or harvesting data, using bots or automated tools to book classes, or introducing malicious code.

Electronic communications. You agree that we may send you notices and communications electronically, including by email, push notification, and text message, and that these satisfy any legal requirement that they be in writing.

Text messages. If you provide your mobile number and consent, we may send you texts about your account, reservations, and, if you opt in, promotional offers. Consent to marketing texts is not a condition of purchase. Message and data rates may apply. You may opt out of marketing messages at any time by replying STOP, and you may opt out of marketing emails using the unsubscribe link. We will still send you transactional messages about your account and bookings.

Third-party services. Our Services may link to or integrate with third-party websites, apps, and payment processors. We do not control and are not responsible for third-party services, and your use of them is at your own risk and subject to their terms.

14. Intellectual Property

The Services, including the Balance and Balance Modern Pilates names, logos, class formats, choreography, music selections, videos, photographs, text, and designs, are owned by Balance or its licensors and are protected by trademark, copyright, and other laws. You receive a limited, revocable, non-exclusive, non-transferable license to use the Services for your personal, non-commercial use. You may not copy, reproduce, distribute, modify, publicly display, or create derivative works of any of our content, or use our marks, without our prior written consent. If you submit feedback, reviews, or content to us, you grant us a perpetual, royalty-free license to use it for any purpose without compensation or attribution.

15. Privacy

Your privacy matters to us. Our Privacy Policy explains how we collect, use, and share personal information, and it is incorporated into these Terms by reference.

16. Disclaimers and Limitation of Liability

Disclaimer of warranties. To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee any particular fitness, health, or physical result, and we do not warrant that the Services will be uninterrupted, secure, or error-free.

Limitation of liability. To the fullest extent permitted by law, Balance and its members, managers, officers, employees, instructors, contractors, landlords, affiliates, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, loss of data, or personal injury or property damage arising out of or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages. Except for liability that cannot be limited by law, our total liability for any claim relating to the Services will not exceed the greater of (a) the amounts you paid to Balance in the three (3) months before the claim arose or (b) one hundred dollars ($100).

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

Indemnification. You agree to indemnify, defend, and hold harmless Balance and its affiliates, owners, employees, instructors, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, your violation of any law or third-party right, or your negligent or wrongful conduct, including injury to any other person caused by you.

17. Dispute Resolution and Arbitration

Informal resolution first. Before starting any formal proceeding, you agree to contact us at info@balancepilates.com or at our corporate address and give us at least thirty (30) days to try to resolve the dispute informally.

Binding arbitration. If we cannot resolve a dispute informally, you and Balance agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services, including its formation, enforceability, or scope, will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect, rather than in court, except that either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek temporary or injunctive relief in court to protect intellectual property or prevent urgent harm. The Federal Arbitration Act governs this Section. The arbitration will take place in Cuyahoga County, Ohio, or by video or telephone if you prefer. The arbitrator may award the same individual relief a court could, but may not award relief on a class or representative basis.

Class action waiver. To the fullest extent permitted by law, you and Balance each agree to bring claims only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative action. If this waiver is found unenforceable as to a claim, that claim must be heard in court and not in arbitration.

Opt-out. You may opt out of this arbitration agreement by emailing info@balancepilates.com with the subject line "Arbitration Opt-Out" within thirty (30) days after you first accept these Terms. Opting out will not affect any other part of these Terms.

Jury waiver. If a claim proceeds in court, you and Balance each knowingly and voluntarily waive any right to a jury trial to the fullest extent permitted by law.

18. Governing Law and Venue

These Terms, and any dispute arising from them or the Services, are governed by the laws of the State of Ohio, without regard to conflict-of-law rules, except that the Federal Arbitration Act governs Section 17. Subject to Section 17, you and Balance agree that any claim not subject to arbitration must be brought exclusively in the state or federal courts located in Cuyahoga County, Ohio, and you consent to personal jurisdiction and venue there. Any claim you bring must be filed within one (1) year after it arose, to the extent the law allows a shorter limitations period by contract; otherwise it is permanently barred.

19. Suspension and Termination

We may suspend or terminate your account, membership, or access to the Services at any time, with or without notice, if we believe you have violated these Terms, created a safety risk, engaged in fraud or abuse, or for any other lawful reason. If we terminate your membership without cause, we will refund the unused portion of your most recent membership payment. If we terminate for cause, you are not entitled to a refund. Sections that by their nature should survive termination will survive, including Sections 4, 10, 14, 16, 17, 18, and 20.

20. General Provisions

  • Changes to these Terms. We may update these Terms from time to time. When we do, we will post the revised Terms with a new effective date and, if the changes are material, notify you by email or through the Services. Your continued use of the Services after the effective date means you accept the revised Terms. If you do not agree, you must stop using the Services and cancel your membership.
  • Entire agreement. These Terms, together with the Privacy Policy, any Participation Agreement and Release, and any offer terms shown at purchase, are the entire agreement between you and Balance about the Services.
  • Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full effect.
  • No waiver. Our failure to enforce any provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, sale of assets, or by operation of law.
  • Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including natural disasters, severe weather, public health emergencies, utility failures, or government orders.
  • Franchises and locations. Some studios may be independently owned or operated; the Services at each location are subject to these Terms.
  • Headings and interpretation. Headings are for convenience only and do not affect interpretation.
